Introduction
1.1. The sale of products under the “Christian Villa” brand concluded remotely through this website www.christianvilla.it (hereinafter referred to as the “Website” or “Site”) is governed by the following Terms and Conditions. The products offered on the Site are sold directly by Pop Corn Milano S.r.l., owner of the Christian Villa brand (hereinafter referred to as “Pop Corn Milano”). Pop Corn Milano is an Italian S.R.L. company, headquartered at Strada Padana Superiore 11, 16-18 – 20063 Cernusco sul Naviglio (MI) – Italy, VAT Number 09270250153, Tax Code IT09270250153, and registration number in the Milan Business Register REA no. 1343952 MI.
1.2. The use of the distance selling service governed by these Terms and Conditions is reserved exclusively for consumers (hereinafter referred to as “Customer” or, in the plural, “Customers”), defined as natural persons acting for purposes unrelated to their commercial, business, craft, or professional activities, if any; over the age of 18 (or minors authorized by their legal representative). The resale or transfer of products purchased on the Website for any commercial or professional purpose is expressly prohibited.
1.3. The languages used to conclude the sales contract through this Website are: Italian, English, and Japanese.
1.4. These Terms and Conditions are published on the Website to allow their awareness, storage, and reproduction by the Customer in accordance with applicable regulations.
1.5. The purchase of products is exclusively governed by the Terms and Conditions published on the Website and in force at the time of purchase. Pop Corn Milano reserves the right to make changes and/or additions to these Terms and Conditions at any time. Any modifications and/or additions will be effective only for purchases made after the date of publication of the new version of the Terms and Conditions. The replacement of these Terms and Conditions with a new version implies the automatic inapplicability, ineffectiveness, and unenforceability of the previous Terms and Conditions in relation to purchases made after their removal from the Website, even if such Terms and Conditions remain consultable and/or accessible to the public through other websites, different from the one mentioned above. -
Product Availability
2.1. The Customer acknowledges that the products offered by Pop Corn Milano on the Website (hereinafter referred to as “Products”) are limited in number and is therefore aware that Pop Corn Milano must verify their availability at the time of purchase.
2.2. Occasionally, inconveniences may occur regarding the availability of certain Products. In such cases, Pop Corn Milano will promptly inform the Customer (and in any case within the terms specified below) via email of the cancellation of their order. If only partial availability is confirmed, the Customer will be informed and asked whether they prefer to receive the available Products or cancel the entire order.
2.3. Pop Corn Milano reserves the right to change the items offered for sale on the Website at any time without notice. -
Purchase Procedure
3.1. Each Product offered for sale on the Website can be viewed through a specific link, allowing the Customer to see photographic images of the article, the unit price, available colors, and sizes (if applicable).
3.2. Products selected by the Customer will be placed in a designated section (hereinafter referred to as the “Cart”).
3.3. Although Pop Corn Milano constantly takes measures to ensure that the photographs displayed on the Website accurately represent the original products, variations may occur due to technical characteristics and resolution of the Customer’s device. Consequently, Pop Corn Milano is not responsible for any inadequacy in the graphical representations of Products shown on the Website due to the aforementioned technical reasons.
3.4. To view the selected Products and the total purchase order price, access the Cart page. Before confirming their purchase proposal (hereinafter referred to as the “Order Proposal”), the Customer must verify the accuracy of the Cart’s content and complete the purchase form according to the instructions provided on the Website.
3.5. Before confirming the Order Proposal, the Customer must declare that they have read and accepted these Terms and Conditions. At the end of the purchase procedure, the Customer is encouraged to save or print the Terms and Conditions.
3.6. The purchase procedure must be fully completed; otherwise, the order cannot be submitted to Pop Corn Milano.
3.7. Each Order Proposal and Customer data necessary for the purchase will be stored by Pop Corn Milano for the period and under the conditions set forth by current regulations. The use of such data for purposes other than the purchase will be subject to the Customer’s prior and explicit consent, as specified in the “Privacy Policy” published on the Website.
3.8. The Customer is aware that they are responsible for the accuracy and truthfulness of all data entered on the Website or used during the purchase phase.
3.9. For shipments outside the European Union, any customs duties and import taxes are the Customer’s responsibility. These charges are not determined by Pop Corn Milano and will be requested by the courier or local customs authority upon delivery. -
Contract Conclusion
4.1. Following confirmation of the Order Proposal, the order is sent to Pop Corn Milano for fulfillment. If the Customer wishes to modify their order, they may send an email to magazzino@popcornmilano.com, and Pop Corn Milano will respond regarding whether the modification is possible depending on the shipping status of the order. Orders that have already been shipped cannot be modified. The Order Proposal issued by the Customer will only be processed by Pop Corn Milano if the entire purchase procedure has been completed correctly, without any error messages displayed on the Website.
4.2. The contract between Pop Corn Milano and the Customer is concluded when the Customer receives one or more confirmation emails from Pop Corn Milano (hereinafter referred to as the “Confirmation Email”) or an email notifying the unavailability of one or more ordered Products, which may also arrive after the Order Confirmation. The Confirmation Email will be sent to the email address provided by the Customer during the purchase process and will summarize the details of the purchase, such as the name of the Product(s) ordered, the total order price (including any shipping costs), the shipping and billing addresses, the payment method used, and the contact email for Customer Care.
4.3. Pop Corn Milano reserves the right not to accept the Customer’s Order Proposal in the following cases: <br>a) lack of availability of the Products included in the Order Proposal<br>b) existence of a legal dispute between Pop Corn Milano and the Customer regarding a previous order<br>c) if the Customer has previously violated the Terms and Conditions or failed to fulfill their obligations<br>d) if it is discovered that the Customer purchases Products for the purpose of reselling or transferring them for commercial or professional purposes<br>e) if the Customer has been involved in or is suspected of illegal or fraudulent activities. In such cases, Pop Corn Milano will notify the Customer via email within 30 (thirty) days from the actual receipt date of the Order Proposal regarding any order cancellation. In this case, no Order Proposal shall be considered accepted by Pop Corn Milano, and no contract shall be deemed concluded between Pop Corn Milano and the Customer.
4.4. In the event of partial availability of the ordered Product, the Customer will be asked whether they prefer to receive the available Products or cancel the entire Order. If the cancellation is only partial, the Customer will only be refunded the amount corresponding to the unavailable/canceled Products.
4.5. The customer requesting an invoice must do so within 2 days from the date of the order by sending an email to magazzino@popcornmilano.com. The request must include the following details: Name and Surname/Company Name, Tax Code/VAT Number, Complete Address, and any other necessary information for the issuance of the invoice. After the indicated deadline, it will no longer be possible to issue the invoice for the order. -
Price and Payment Method
5.1. The prices of all Products offered for sale on the Website include VAT.
5.2. The total price shown in the Cart includes any shipping costs, which will be indicated separately.
5.3. The Customer will be charged the prices published on the Website and displayed in the Cart at the time of Order confirmation, provided that the Products are available at that time. Pop Corn Milano reserves the right to modify the prices of Products offered for sale on the Website at any time and without prior notice.
5.4. Pop Corn Milano accepts only credit cards and other payment methods expressly indicated on the Website.
5.5. For credit card payments, the Customer confirms and guarantees that they are the cardholder and that all the relevant information entered during the purchase process is correct, including the card number, expiration date, and, if required, the security code.
5.6. For payments through other payment service providers, the Customer confirms and guarantees that they are the account holder used for the purchase.
5.7. The shipment of purchased Products will only occur after the Customer’s payment has been successfully processed. If, for any reason, the Customer’s payment cannot be processed, the sales process will automatically be canceled, and the sale will be void. -
Delivery
6.1. Products will be shipped to the address provided by the Customer in the Order Proposal. At the time of delivery, the Customer’s signature will be required.
6.2. For security reasons, Pop Corn Milano will not fulfill orders addressed to P.O. boxes, nor will it accept any orders where it is impossible to identify the physical recipient of the order and their address.
6.3. In cases where shipping costs are charged to the Customer, these will be explicitly indicated, separately from any other costs or expenses, at the conclusion of the Order Proposal process and before the Customer selects the Purchase Button.
6.4. In accordance with applicable law, the maximum delivery term for Products purchased by Pop Corn Milano is 30 (thirty) days from the contract’s conclusion date, except in cases of force majeure.
6.5. If Pop Corn Milano fails to deliver the ordered Products within the term specified above, the Customer must request Pop Corn Milano to deliver within an additional period appropriate to the circumstances, in accordance with applicable law. The Customer retains the right to terminate the contract immediately if the ordered Product is not delivered within the additional period specified.
6.6. Upon shipment of the purchased Product, the Customer, who has provided their email address, will receive an email at the address indicated in the Order Proposal. This email will contain a tracking code for the shipment. Pop Corn Milano’s Customer Service will assist with any possible delivery issues. The Customer may contact Pop Corn Milano’s Customer Service via email at: magazzino@popcornmilano.com.
6.7. The risk of loss or damage to the Products is transferred to the Customer only when they, or a third party designated by them and different from the carrier, physically take possession of the Products. If, on the contrary, loss or damage occurs before the physical delivery to the Customer or a third party designated by them, Pop Corn Milano will refund the amounts already paid by the Customer. -
Product Conformity
7.1. Upon delivery, the Customer must check the Products to ensure that they correspond to the items ordered and do not show manufacturing defects or lack of conformity. The legal guarantees provided by current regulations apply to the sale of Products, along with any additional warranties that may be provided to the Customer.
7.2. In the event of manufacturing defects or conformity issues, the Customer has the right to have the Product’s conformity restored at no cost through repair or replacement, unless the requested remedy is objectively impossible or excessively burdensome compared to the alternative. If one of the cases provided by law arises, the Customer may request an appropriate price reduction or contract termination and a subsequent refund of the paid price. It is understood that the Customer forfeits these rights if they do not notify Pop Corn Milano of the lack of conformity within 2 (two) months from the date they discovered the defect. In any case, Pop Corn Milano is responsible only for conformity defects that occur within 2 (two) years from the delivery of the Product. The legal action to assert defects is time-barred after 26 (twenty-six) months from the Product’s delivery date.
7.3. To report defects or non-conformities in the Products and obtain one of the remedies listed above, the Customer may contact Pop Corn Milano at the addresses indicated in Article 14. -
Returns and Refunds - Right of Withdrawal
8.1. The Customer has the right to withdraw from the contract within 14 (fourteen) days from the delivery or collection date of the Products, except in the case of Personalized Products.
8.2. To exercise the right of withdrawal, the Customer must send an email to magazzino@popcornmilano.comwithin 14 (fourteen) days of receiving the order, requesting the withdrawal in accordance with Article 52 of Legislative Decree 206/2005. Pop Corn Milano will send a response email with instructions to proceed with the return, including the return shipping address.
8.3. The return of the Product may take place using a label provided by Pop Corn Milano, or the Customer may organize the shipment through a courier of their choice. If the Customer wishes to use the label provided by Pop Corn Milano, they must request it by writing to magazzino@popcornmilano.com. In this case, shipping costs will be deducted from the refund. Any customs duties on returns, if applicable, will be covered by Pop Corn Milano.
8.4. The Customer is responsible for the shipping costs and any liability for loss, theft, damage, or delays in delivery.
8.5. The Customer agrees to return the Products for which they exercised the right of withdrawal without undue delay and, in any case, within 14 (fourteen) days from the date they communicated their decision to withdraw from the contract to Pop Corn Milano.
8.6. The Products must be returned in the same condition in which they were delivered. The Customer must therefore ensure that the Products are intact, complete, unused, unworn, or otherwise undamaged, and that they are returned in their original packaging with all labels attached. Pop Corn Milano will verify the packaging and the condition of each returned Product, with the substantial integrity of the Products being an essential requirement for exercising the right of withdrawal.
8.7. Pop Corn Milano reserves the right to refuse the return of Products that are damaged, deteriorated, dirty, or in a condition that clearly indicates they have been used for purposes other than those strictly necessary for the Customer to verify the Product’s nature and characteristics. In case of a refused return, Pop Corn Milano will notify the Customer and will not proceed with the refund of the price paid, reserving the right to seek compensation for any damages caused by the Customer’s conduct.
8.8. The refund for returned Products will be processed by Pop Corn Milano without undue delay and, in any case, within 14 (fourteen) days from the date Pop Corn Milano became aware of the Customer's exercise of the right of withdrawal. Pop Corn Milano reserves the right to withhold the refund until it has received and verified the Product. The refund will be made using the same payment method used by the Customer for the purchase. Pop Corn Milano will confirm the refund via email.
8.9. The return of Products under this article is only permitted for purchases made on the Website.
8.10. Since Personalized Products are permanently modified and customized specifically for the Customer, and their original production cannot be restored in any way, the right of withdrawal cannot be exercised for Personalized Products. However, the exclusion of Personalized Products from the right of withdrawal does not affect the application of legal warranties, as provided in Article 7, even to such products. -
Limitation of Liability
9.1. Except in cases of willful misconduct or gross negligence, Pop Corn Milano shall not be liable to the Customer for indirect or consequential damages that may result from the purchase of Products offered for sale on the Website. -
Product Authenticity and Intellectual Property Rights
10.1. Pop Corn Milano guarantees the authenticity and high quality of all Products offered for sale on the Website.
10.2. The “Christian Villa” trademark, as well as all figurative and non-figurative trademarks, illustrations, images, and logos on the “Christian Villa” products, related accessories, and/or packaging, whether registered or not, are and remain the exclusive property of Pop Corn Milano. The total or partial reproduction, modification, tampering, or use of these trademarks, illustrations, images, and logos for any reason and on any medium is strictly prohibited. -
Disputes
11.1. These Terms and Conditions are governed by and interpreted in accordance with Italian law, without prejudice to any prevailing mandatory rules of the Customer’s country of habitual residence. Consequently, the interpretation, execution, and resolution of the Terms and Conditions are subject exclusively to Italian law.
11.2. In the event of disputes arising from the interpretation and/or application of these Terms and Conditions, the competent court shall be exclusively that of the Customer’s domicile or residence, if located within Italian territory. If the Customer’s domicile or residence is located outside Italian territory, the Customer may choose either the court of their place of residence or domicile or the court of Milan, where Pop Corn Milano has its registered office. In addition, under Article 14 of Regulation EU 524/2013, the Customer may initiate one of the alternative dispute resolution procedures provided by current legislation. -
Severability Clause
12.1. If any clause in these Terms and Conditions is deemed void for any reason, this shall not affect the validity and enforceability of the remaining provisions of these Terms and Conditions. -
Data Processing
13.1. Customer data is processed in accordance with the applicable personal data protection regulations, as specified in the relevant section containing the privacy policy pursuant to Article 13 of Regulation EU 2016/679 (Privacy Policy). -
